Acceptance of the Terms of Use

These terms of use are entered into by and between you (“Client”, “you” or “user”) and Loxala Global Inc. (“Loxala Global,” "Company," "we," or "us"). The following terms and conditions  ("Terms of Use") govern your access to and use of our online services and Company software applications, including but not limited to, our www.Loxala.com website, programs and mobile applications (the “Loxala Platform”), whether as a guest or a registered user.

Please read the Terms of Use carefully before you start to use the Loxala Platform. By using the Loxala Platform or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Loxala Platform.

This Loxala Platform is offered and available to users who are 18 years of age or older.  By using this Loxala Platform, you represent and warrant that you are of legal age to form a binding contract with the Company. If you do not meet these requirements, you must not access or use the Loxala Platform.

Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Loxala Platform thereafter.

Your continued use of the Loxala Platform following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

Description of Our Services

The Loxala Platform provides businesses with access to a global network of expert freelancers across various industries, including Design & Creative, Programming & IT, Sales & Marketing, Writing & Translation, AI Services, and Business Services. Through the platform, clients can efficiently connect with skilled professionals to complete project-based work tailored to their needs.Loxala.com is an online freelance marketplace designed to streamline the hiring process by allowing businesses to post projects, review proposals, and engage freelancers securely and efficiently. Clients can access the platform via the Loxala app or website, where they can create listings, evaluate freelancer bids, and manage projects using integrated communication and task management tools. The platform also provides secure payment processing through Loxala Escrow, ensuring funds are only released upon project completion.

Freelancers create profiles, showcase their expertise, and bid on projects posted by businesses. Clients and freelancers interact through built-in messaging, set milestones for phased payments, and track progress using Loxala’s Milestone Tracking feature. Upon completion, users can rate and review each other, fostering a quality-driven marketplace. The Loxala Community further supports engagement by enabling discussions and networking, while maintaining policies that prohibit adult content, fake news, and other inappropriate material.

Accessing the Loxala Platform and Account Security

We reserve the right to withdraw or amend this Loxala Platform, and any service or material we provide on the Loxala Platform, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Loxala Platform is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Loxala Platform, or the entire Loxala Platform, to users, including registered users.

To use the Loxala Platform, users must create an account by entering their email and password. This registration enables users to post projects, find job opportunities, and interact with other users on the platform. Freelancer profiles display skills, experience, ratings, and portfolio samples, helping clients evaluate potential hires. Freelancers can choose to make their profiles public, visible to all registered Loxala users, or private, visible only to clients with an active contract.

As part of the registration process, Loxala requires all users to click "I agree" to accept these Terms of Use before accessing the platform. By doing so, users confirm their understanding and acceptance of the terms outlined in this agreement.

You are responsible for both:

  • Making all arrangements necessary for you to have access to the Loxala Platform.
  • Ensuring that all persons who access the Loxala Platform through your internet connection are aware of these Terms of Use and comply with them.

To access the Loxala Platform or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Loxala Platform that all the information you provide on the Loxala Platform is correct, current, and complete. You agree that all information you provide to register with this Loxala Platform or otherwise, including, but not limited to, through the use of any interactive features on the Loxala Platform, is governed by our Privacy Policy and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

Once a client hires a freelancer, they can communicate through Loxala’s built-in messaging system or schedule a video call on the platform to discuss project details.

If you choose, or are provided with, a user name, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Loxala Platform or portions of it using your user name, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

We have the right to disable any user name, password, or other identifier, whether chosen by you or provided by us, at any time if, in our opinion, you have violated any provision of these Terms of Use.

Intellectual Property Rights

The Loxala Platform and its entire contents, features, and functionality (including but not limited to all information, tax forms, data input forms, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms of Use permit you to use the Loxala Platform for your business or personal use in accordance with these terms. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Loxala Platform, or use it in delivering freelance services outside of the platform, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.
  • If we provide social media features with certain content, you may take such actions as are enabled by such features.

You must not:

  • Modify copies of any materials from this site.
  • Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
  • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.

You must not access or use for any commercial purposes any part of the Loxala Platform or any services or materials available through the Loxala Platform.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Loxala Platform in breach of the Terms of Use, your right to use the Loxala Platform will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Loxala Platform or any content on the Loxala Platform is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the Loxala Platform not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.

Trademarks

The Company name, the brand “Loxala ,” the Company logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. you must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on this Loxala Platform are the trademarks of their respective owners.

Prohibited Uses

You may use the Loxala Platform only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Loxala Platform:

  • To engage any fraudulent activity, misrepresentation, or deceptive business practices while using the platform’s services.
  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Loxala Platform, or which, as determined by us, may harm the Company or users of the Loxala Platform, or expose them to liability.

User Contributions

The Loxala Platform may, either currently or in the future, contain various community and interactive features (collectively, "Interactive Services") that allow users to create, share, and engage with content. These features include message boards, chat rooms, forums, bulletin boards, reviews, comments, profiles, and the ability to post and interact with blogs. Users can upload and showcase media such as photos, videos, music, written materials, designs, and software code. Additionally, users have the ability to comment on posts, report other users, and choose whether their content is public or private.

Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Loxala Platform, you grant us and our affiliates and service providers, and each of their and our licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose. You acknowledge that some content, including written materials, images, and designs, may be protected by copyright, and by posting it, you affirm that you have the necessary rights to share it.

You represent and warrant that:

  • You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our licensees, successors, and assigns.
  • All of your User Contributions comply with these Terms of Use.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.  Loxala Global does not verify or endorse User Contributions and is not liable for the content or accuracy of any material posted by users on the platform.

Monitoring and Enforcement; Termination

We have the right to:

  • Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
  • Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Loxala Platform or the public, or could create liability for the Company.
  • Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
  • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Loxala Platform.
  • Terminate or suspend your access to all or part of the Loxala Platform for any or no reason, including without limitation, any violation of these Terms of Use.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Loxala Platform. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

However, we do not undertake to review material before it is posted on the Loxala Platform, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Copyright Infringement

We respond to notices of alleged copyright infringement and terminate accounts of repeat infringers according to the process set out in the U.S. Digital Millennium Copyright Act.

If you believe that any material on the Loxala Platform infringes upon any copyright which you own or control, you may file a DMCA Notice of Alleged Infringement with us by emailing dmca@Loxala.com

Reliance on Information Posted

With respect to the general information presented on or through the Loxala Platform, it is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Loxala Platform, or by anyone who may be informed of any of its contents.

This Loxala Platform may include content and products provided by third parties, including materials provided by merchants, providers of goods and services, other users, third-party licensors, manufacturers, retailers and others. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials and listings provided by any third parties.

Changes to the Loxala Platform

We may update the content on this Loxala Platform from time to time, but its content is not necessarily complete or up-to-date. Any of the material on the Loxala Platform may be out of date at any given time, and we are under no obligation to update such material.

Information About you and your Visits to the Loxala Platform

All information we collect on this Loxala Platform is subject to our Privacy Policy. By using the Loxala Platform, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

Online Product and Service Listings and Commercial Terms

You agree that by placing an accepting a Proposal from a Freelancer and agreeing to these Terms, you are entering into a binding obligation with Loxala Global to pay all charges that may be incurred by you or on your behalf through the Loxala Platform, at the price(s) in effect when such charges are incurred, including, without limitation.  In addition, you remain responsible for any taxes that may be applicable to your Listing.

All descriptions, references, features, specifications and prices of products and services described or depicted on the Loxala Platform are subject to change at any time without notice.

Loxala Global, at its sole discretion, may offer promotional pricing, codes or other offers to you (“Promotions”). Promotions cannot be used on past purchases. Promotions are non-transferable and there is no cash alternative. Certain promotions may or may not be used in conjunction with other Promotions or offers, and must be used by the date published, if any. We reserve the right at any time without notice to retract or change any Promotions.

Loxala Global reserves the right, with or without prior notice, to do any one or more of the following: (i) limit the number of Listing or Proposals you may post or receive or discontinue any product or service; (ii) impose conditions on the honoring of any coupon, coupon code, promotional code, or other similar promotion; (iii) bar any user from making or completing any or all Transaction(s); and (iv) refuse to provide any user with any product or service.

Payment

Fees

Clients contract with Freelancers through posting and acceptance of Listings. Such contracts are solely between the Client and the Freelancer. Loxala does not become a party to any contracts for Listings submitted through our Service. Loxala merely facilitates these contracts by supplying a platform for project management, communication, and payment processing between Clients and Freelancers.

Clients must purchase connection packages to connect with Freelancers on the Loxala Platform. Each package provides a set number of connections with no expiration date, and Clients also receive five free messages daily. The available connection packages are as follows:

  • Package 1: 7 Connections – $4.99
  • Package 2: 15 Connections – $9.99
  • Package 3: 30 Connections – $19.99

All connection package fees are non-refundable.

All service fees are paid directly to Freelancers. Loxala does not provide freelance services directly and does not charge for any specific services rendered by Freelancers. Payments made to Freelancers via Loxala’s billing platform are transferred directly to the Freelancer’s payment account, less any associated Loxala platform and processing fees (e.g., credit card fees.)

A Transaction Fee of 4.2% will be applied to the total amount of each new contract between the Client and Freelancer. This fee covers platform operations and payment infrastructure and is added at the time of contract initiation.

In cases of agreement cancellations, disputes, or refunds, additional charges may be imposed by third-party payment providers. These charges are outside of Loxala’s control and are governed by the terms and processing policies of the relevant third-party service. Loxala is not liable for any such deductions, fees, or delays caused by third-party processors.

Freelancers must process all payments for their services through the Loxala Platform. Even if a Client requests additional work beyond the original Listing, the Freelancer agrees to process all payments through the Loxala Platform. If a Client is unwilling or unable to make payment via the Loxala Platform, the Freelancer must notify Loxala immediately.

Payments will be processed as specified in the Listing and agreed upon by the Client and the Freelancer. When a Payment is due the Client must then pay the agreed-upon amount.  Loxala Global will have the right to charge the Client's credit card, bank account, or other authorized account for the full amount of the agreed-upon fee, including applicable service or processing fees.

Freelancer Fees and Payments

1. Platform Role

Freelancers acknowledge and agree that Loxala Global, Inc. ("Loxala") serves solely as a platform that facilitates communication, contract formation, and payment processing between Clients and Freelancers. Loxala is not a party to any service agreement between Freelancers and Clients, and does not provide freelance services directly. Freelancers are solely responsible for the performance and delivery of services agreed upon through Listings or other engagements on the Loxala Platform.

Freelancer Commissions

Freelancers are subject to a commission structure determined by the nature and timing of each engagement. These commissions are deducted automatically from payments made by Clients and are applied before funds become available for withdrawal.

a. Standard Commission Rate:

A ten percent (10%) commission applies to all jobs accepted and completed under standard terms and conditions.

b. Multiple Jobs Commission Rate:


A ten point nine percent (10.9%) commission applies when a Freelancer accepts a new job while actively working on another ongoing project. This rate reflects the added complexity and resource commitment of managing multiple client relationships concurrently.

c. Weekend Commission Rate:


An eight point nine percent (8.9%) commission applies to the first job accepted by a Freelancer between Saturday at 12:00 AM GMT and Sunday at 11:59 PM GMT. This reduced commission rate is offered in recognition of freelancers’ increased availability during weekends.

Skill Matcher and Submission Pricing

Freelancers using the Skill Matcher feature or manually submitting applications to job Listings are subject to a tiered pricing model based on their location. Loxala applies region-specific pricing according to the Purchasing Power Parity (PPP) of the Freelancer’s country, which is detected using IP address.

Pricing for Skill Matcher and manual submissions is non-refundable. If a Freelancer’s IP address cannot be detected, High-PPP pricing will be applied by default. Freelancers may request manual reassignment with appropriate verification.

Freelancers located in countries with high purchasing power, including but not limited to the United States, Canada, the United Kingdom, Germany, France, and Australia, are subject to the highest pricing tier. Medium-tier pricing applies to countries such as Brazil, Poland, Turkey, South Africa, Egypt, and others. Freelancers in lower purchasing power regions, such as India, Bangladesh, the Philippines, Nigeria, and similar markets, are offered the lowest pricing tier.

Financial Dashboard

Loxala provides Freelancers with access to a financial dashboard, which offers a clear overview of their earnings and payout activity. Features include:

  • Available Funds: Displaying withdrawable earnings after applicable fees and hold periods.
  • Pending Payments: Showing earnings awaiting client release or subject to holding periods.
  • Total Earnings: Allowing freelancers to view lifetime and filtered earnings by time period.
  • Goal Tracking: Enabling freelancers to set monthly or annual income goals. When a Freelancer reaches eighty percent (80%) of their goal, a notification and email reminder are automatically triggered to encourage continued progress.



All earnings released by Clients will enter a pending state for eight (8) days before becoming available for withdrawal.

Withdrawal Management

Freelancers may initiate withdrawals once their available balance reaches the platform’s minimum withdrawal threshold of one hundred U.S. dollars (USD $100). Freelancers can choose to receive withdrawals on a weekly or monthly basis and must select a supported payout method.

Each withdrawal will require verification through Google Authenticator. Freelancers must use the time-based one-time code (TOTP) generated in their Google Authenticator app to complete the withdrawal process. In cases where two-factor authentication (2FA) is not yet active on the account, the Freelancer will be prompted to enable 2FA using Google Authenticator before a withdrawal request can be processed.

Loxala currently offers two types of withdrawals:

a. Standard Withdrawals:

Available in select regions, including the United States, United Kingdom, and Japan. These are subject to a flat fee and are processed within two to seven (2–7) business days.

b. Express Withdrawals:

Available in the United States and United Kingdom, express withdrawals incur a percentage-based fee in addition to a flat transaction charge. Funds are typically transferred within thirty (30) minutes, including weekends and holidays.

In Japan, standard payouts are processed every Monday at 1:00 AM GMT.

Payment Accuracy and Liability

Freelancers are responsible for ensuring that all bank account and withdrawal information submitted on the Loxala Platform is accurate and up to date. Inaccurate information may result in delayed transfers or additional fees. Third-party payment processors may charge additional administrative or correction fees for processing errors. Loxala shall not be held liable for any such charges or deductions resulting from inaccurate or incomplete information provided by the Freelancer.

Payment Processing. We may accept certain kinds of “third party payment providers” (i.e. Stripe, Apple Pay, Google Pay or PayPal ) and payments made through debit and credit cards. For payments through third party payment providers, you may be directed to the third party payment platform to complete your payment. It is your responsibility to familiarize yourself with the third party payment provider’s terms and conditions, and privacy policy.

You acknowledge and agree that the credit or debit card being used is yours or that you have been specifically authorized by the owner of such a card to use it. All card holders are subject to validation and authorization by the issuer of the card. If the issuer of your payment card refuses to authorize payment to us, we will not be liable for any non-delivery or delay of orders.

When engaging a Freelancer for services through the Loxala Platform, you have the ability to communicate with the Freelancer throughout the process to discuss project details, request modifications, and ensure the work meets your expectations before completion. Accordingly, we do not accept returns or refunds of any kind, regardless of the final outcome of the project.

Linking to the Loxala Platform and Social Media Features

You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our express written consent.

This Loxala Platform may provide certain social media features that enable you to:

  • Link from your own or certain third-party Loxala Platforms to certain content on this Loxala Platform.
  • Send emails or other communications with certain content, or links to certain content, on this Loxala Platform.
  • Cause limited portions of content on this Loxala Platform to be displayed or appear to be displayed on your own or certain third-party Loxala Platforms.

You may use these features solely as they are provided by us, and solely with respect to the content they are displayed with, and otherwise in accordance with any additional terms and conditions we provide with respect to such features. Subject to the foregoing, you must not:

  • Establish a link from any Loxala Platform that is not owned by you.
  • Cause the Loxala Platform or portions of it to be displayed on, or appear to be displayed by, any other site, for example, framing, deep linking, or in-line linking.
  • Link to any part of the Loxala Platform other than the homepage.
  • Otherwise take any action with respect to the materials on this Loxala Platform that is inconsistent with any other provision of these Terms of Use.

You agree to cooperate with us in causing any unauthorized framing or linking immediately to stop. We reserve the right to withdraw linking permission without notice.

We may disable all or any social media features and any links at any time without notice in our discretion. 


Links from the Loxala Platform

If the Loxala Platform contains links to other sites and resources provided by third parties, these links are provided for your convenience only. This includes links contained in advertisements, including banner advertisements and sponsored links. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party Loxala Platforms linked to this Loxala Platform, you do so entirely at your own risk and subject to the terms and conditions of use for such Loxala Platforms.


Geographic Restrictions

Loxala is a global platform that allows Freelancers from Europe, Asia, and other regions to register and work with Clients worldwide. While we strive to make our services accessible internationally, we make no claims that the Loxala Platform or any of its content is appropriate or legally permitted in every jurisdiction. Access to the Loxala Platform may be restricted or prohibited by local laws in certain countries. If you access the Loxala Platform from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

Loxala complies with the General Data Protection Regulation (GDPR) by obtaining explicit consent for data collection and providing users with the right to access, modify, or delete their personal data.

User-Generated Content and Copyright

Loxala is not liable for content uploaded or shared by users. Any user-uploaded material, including text, images, videos, or other media, is the sole responsibility of the user who submitted it. Users must ensure they have the legal right to share any copyrighted or proprietary content. Loxala reserves the right to remove or restrict any content that violates intellectual property laws or community guidelines.

Community Content and Conduct

Loxala is not responsible for user-generated content in forums, comments, reviews, or discussions. Views expressed by users do not represent the opinions or advice of Loxala. While we strive to maintain a professional and respectful community, users must follow a code of conduct prohibiting offensive, discriminatory, or inappropriate content. Violations may result in content removal, warnings, or account suspension.  Loxala does not guarantee the accuracy, reliability, or validity of information shared in community discussions. Users should ly verify any information found on the platform before relying on it for personal or professional purposes.

Refunds and Dispute Resolution

Loxala does not provide refunds for services rendered by Freelancers. All transactions between Clients and Freelancers are final unless otherwise agreed upon by the Freelancer. In certain cases, we may facilitate dispute resolution; however, Loxala is not responsible for the outcome of any such disputes. If you believe an issue has occurred with the services you received, you must notify us as soon as you become aware of the matter (and in no event later than 30 days after the service is completed) by emailing dispute@Loxala.com. While we may review concerns related to platform usage, all project-related disputes must be resolved directly between Clients and Freelancers.

Electronic-Filing

When you choose to hire a Freelancer through the Loxala Platform, you acknowledge that all services provided are performed independently by the Freelancer. Loxala does not oversee or control the specific tools, software, or methods used by Freelancers to complete projects. The qualifications and credentials of Freelancers on the Loxala Platform are reviewed during the onboarding process, but Loxala makes no guarantees regarding their certifications, licenses, or professional background.

Disclaimer of Warranties

Platform Disclaimers

Loxala does not guarantee or warrant that files available on the platform or internet are free of viruses or harmful code. You are responsible for implementing anti-virus protection, data security measures, and maintaining external backups.

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE LOXALA PLATFORM, ANY LOXALA PLATFORMS LINKED TO IT, ANY CONTENT ON THE LOXALA PLATFORM OR SUCH OTHER LOXALA PLATFORMS, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Loxala Platform, including, but not limited to, your User Contributions, any use of the Loxala Platform's content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Loxala Platform.

Governing Law and Jurisdiction

All matters relating to the Loxala Platform and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule (whether of the State of Delaware or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Loxala Platform shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, in each case located in New York City, in New York State although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Arbitration

At Company's sole discretion, it may require you to submit any disputes arising from these Terms of Use or use of the Loxala Platform, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Delaware law.

Waiver and Severability

No waiver by the Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement

The Terms of Use, our Privacy Policy and Terms of Sale constitute the sole and entire agreement between you and Loxala Global regarding the Loxala Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Loxala Platform.
